Selling Private Securities

As companies stay private for a longer period of time before they are listed, there would be some investors and employees who would like to sell their Pre-IPO securities to get some liquidity. To attract genuine interest from potential buyers, members will be pre-screened by Pre-IPO to ascertain that they are accredited investors. Members who use Pre-IPO to sell their securities enjoy these clear advantages: liquidity, transparency and assurance of a standardised method of selling securities.

The first step is to register with Pre-IPO and complete the short online accreditation form. Once your accredited status is confirmed, a confirmation email will be sent to your email account and you can access the platform. To sell securities, please follow the steps as recommended and we will endeavour to put up your posting as soon as possible so investors can get to invest in new promising companies.

How to sell Private Securities

Creating a sales posting is a simple four step process. You will be required to be registered, provide some information on the company to be posted and be accredited. The final step is to complete the transaction.


Please provide some basic information about yourself or your organisation. We will provide an email confirmation once you have been successfully registered.

Create a Post

Once you received our confirmation, you can gain access to our platform. To create you first posting, you will be required to provide the following information regarding the company to Pre-IPO admin.

  • Name of company
  • Quantity and price of securities
  • Proof of securities ownership

Your posting will be reviewed by Pre-IPO Admin before it can be posted on the platform.


You will be required to be accredited before your posting is available for other members to see. To be accredited, you will be required to sign and upload the following documents:

  • Membership agreement
  • Documents for identification and verification


Upon accreditation, your posting will be available for investors to see. Once an investor is keen on your posting, they can contact you and make an offer for the posted securities. You will enter into private discussion with the investor.

A transaction consists of the following steps:

  1. Negotiation
  2. Appointment of professionals
  3. Due diligence (if required)
  4. Signing of Sales & Purchase Agreement or similar agreement
  5. Settlement

To maximise the flexibility for members, only the steps as outlined in (1) to (3) will be provided for on the platform. Steps (4) and (5) will be executed outside the Pre-IPO platform.
